Vendor Agreement Summary
Understand the main commitments before reading the full agreement
This summary explains the main commercial and operational terms that apply to approved Vendors using OpShop.Kiwi. It is designed to make the Vendor relationship easier to understand before you read or accept the full Vendor Agreement.
The full Vendor Agreement is the governing document. If anything in this summary differs from the full Agreement, the full Agreement applies.
Current fees, commission rates and optional paid services are set out separately in the Fees & Services Schedule.
Who can become an OSK Vendor +
OSK is for genuine in trade sellers
OpShop.Kiwi is a business to consumer platform for approved in trade sellers. It is not a general marketplace for private individuals clearing personal belongings or casual hobby sellers.
Eligible Vendors may include charities, incorporated organisations, companies, sole traders, independent second hand businesses, vintage and antique traders and other approved reuse sector businesses.
A business does not have to operate full time, employ staff, use commercial premises or be GST registered merely to qualify.
Genuine part time, home based, seasonal and low volume businesses may qualify where their activity shows that they are operating in trade rather than simply selling personal belongings.
Business and identity verification +
OSK may verify the business behind the Store
OSK may verify information such as legal name, trading name, NZBN, company or charity registration, GST status where applicable, addresses, authorised representatives and payout information.
OSK may use lawful government, third party, data or API services to carry out verification.
Where automated verification is unavailable or unclear, OSK may ask for reasonable supporting evidence such as supplier invoices, sales records, accountant or bookkeeper confirmation, business banking evidence, established commercial activity or other evidence of genuine trading.
GST registration is not required simply because a Vendor applies to use OpShop.Kiwi where GST registration is not otherwise legally required.
Vendor Organisations, Stores and users +
One Organisation may manage multiple Stores
OSK may structure Vendor access around a Vendor Organisation containing one or more individual Stores.
An Organisation may have different authorised users, including owners, administrators, regional or area managers, Store managers, staff, volunteers and listing support users.
The Vendor is responsible for ensuring authorised users have appropriate access and comply with the Vendor Agreement.
The Op Shop Guide NZ +
Eligible Store listings can be claimed for free
Eligible Vendors may claim and manage an eligible Store listing on The Op Shop Guide NZ without paying a Store subscription fee.
Supported free functions may include updating Store information, opening hours, location details, descriptions, categories, photographs, website and social links, and publishing supported Store updates or notices.
OSK may maintain basic publicly available information about eligible operating businesses even where a listing has not yet been claimed.
OSK may correct, standardise, merge, archive or remove Guide information where reasonably necessary to maintain accuracy and consistency.
OSK eCom and marketplace selling +
A standard OSK eCom Store has no monthly storefront fee
An approved Vendor may operate a standard OSK eCom Store without paying a monthly Store or storefront subscription fee.
Free Store access may include the Vendor's public Store presence and standard product listing and selling functionality.
Free Store access does not mean marketplace sales are commission free. Marketplace commission applies where relevant sales occur.
The Vendor remains the supplier and seller of its goods unless OSK expressly agrees otherwise.
Commission, fees and optional services +
Use the free core platform and add paid services only when needed
Marketplace commission applies to eligible marketplace sales according to the Vendor's applicable rate.
Optional paid services may include listing assistance, Vendor Support, advertising, OSK POS, Revelist and other services offered by OSK.
Vendors are not required to purchase optional paid services simply to maintain an eligible Guide listing or standard eCom Store.
Current commission rates, service prices and commercial terms are published on the Fees & Services page.
Product listings and accuracy +
Vendors are responsible for what they list
Product listings must be honest and reasonably accurate.
Vendors are expected to disclose material faults and relevant condition information, provide useful measurements where appropriate, use suitable categories and attributes, and use photographs that reasonably represent the actual item.
Vendors must be legally entitled to sell the goods they list.
OSK may remove or restrict listings reasonably believed to be unsafe, unlawful, misleading, unavailable, counterfeit, prohibited or inconsistent with Marketplace Standards.
Consumer rights, returns and refunds +
Vendors must meet their consumer obligations
Vendors must comply with applicable New Zealand consumer law, including the Consumer Guarantees Act and Fair Trading Act.
Second hand, vintage, antique, donated or reused goods do not automatically lose applicable consumer protections merely because they are pre owned.
Where a repair, replacement, refund or another remedy is required by law, the Vendor must cooperate promptly.
Change of mind returns are not automatically required unless the Vendor's own Store policy or another applicable OSK policy provides for them.
Product safety and prohibited goods +
Goods must be safe and lawful to sell
Vendors are responsible for ensuring goods offered through OSK may lawfully be supplied and comply with applicable product safety requirements, mandatory standards, bans and restrictions.
Unsafe or recalled products must not knowingly be offered contrary to applicable law or recall requirements.
If a Vendor becomes aware of a safety issue affecting a listed or sold product, the Vendor must act promptly and cooperate with OSK, affected customers and any applicable legal requirements.
Shipping, collection and delivery claims +
Shipping depends on the service and carrier account used
OSK may provide access to courier or shipping services negotiated, administered or integrated by OpShop.Kiwi.
Where a Vendor uses its own connected carrier account, the Vendor remains responsible for carrier charges and fulfilment under that account.
Where an OSK managed carrier account is used, OSK may retain the freight collected to meet applicable carrier charges and administer shipping records, labels and tracking.
Vendors must package goods appropriately, provide accurate parcel information and assist with genuine loss, delay or damage claims.
Payments and payouts +
OSK may deduct authorised transaction amounts before payout
Where commission applies, it is calculated using the Vendor's applicable rate.
OSK may deduct properly payable commission, fees, refunds, chargebacks, shipping adjustments and authorised transaction amounts before making a Vendor payout.
OSK may temporarily hold an affected amount where reasonably necessary to investigate fraud, a chargeback, refund, customer dispute or another legitimate payment issue.
OSK will not unreasonably withhold undisputed Vendor funds.
OSK POS +
POS is an optional paid service
OSK POS may be used by approved Vendors under the applicable subscription terms published in the Fees & Services Schedule.
Cash sales and sales processed through a Vendor operated or external EFTPOS arrangement do not attract an OSK marketplace transaction commission merely because OSK POS records the sale.
Customer card payments processed through the OpShop.Kiwi PayStation gateway remain subject to the Vendor's applicable marketplace commission rate unless an accepted offer expressly states otherwise.
The Vendor remains responsible for suitable devices, connectivity and Vendor controlled equipment used with POS unless OSK expressly agrees otherwise.
Revelist and AI assisted listing +
AI assistance still requires Vendor review
Revelist may assist with identification, titles, descriptions, attributes, research and listing preparation.
AI and automated research can make mistakes. The Vendor remains responsible for checking information before relying on or publishing it.
OSK does not guarantee AI generated identification, value, authenticity, age, brand or other generated information.
Current Revelist purchase and usage arrangements are governed by the applicable Revelist offer and Fees & Services Schedule.
Advertising and promotion +
Advertising is optional
OSK AdManager may provide optional promotional opportunities across The Guide, OSK eCom and other eligible OSK services.
The Vendor is responsible for ensuring advertising claims, prices, images, trademarks and promotional information it supplies or approves are lawful and not misleading.
Advertising does not guarantee a particular level of impressions, clicks, enquiries or sales unless OSK expressly agrees otherwise.
Customer information and privacy +
Customer information is provided for legitimate transaction purposes
Customer information accessed through OSK may be used for legitimate purposes such as fulfilment, delivery or collection, customer service, returns, refunds, transaction records, fraud prevention and legal obligations.
A Vendor must not add an OSK customer to an unrelated marketing list simply because that customer purchased through OSK.
Vendors must take reasonable steps to protect personal information they access through the platform.
Suspension and termination +
Serious problems can result in restricted access
OSK may restrict or suspend affected access where reasonably required because of fraud, consumer harm, unlawful activity, serious or repeated standards breaches, materially misleading information, security concerns, non payment, misuse of OSK systems or loss of in trade eligibility.
Where reasonably practicable, OSK will explain the concern and provide an opportunity to remedy it.
Immediate action may be taken where necessary to protect customers, Vendors, OSK, payment systems or the public.
Ending one optional paid service does not automatically terminate an eligible Vendor's free Guide listing or standard eCom Store.
Data and records after termination +
Some records must remain after access ends
Termination does not remove obligations relating to existing orders, refunds, fees, payouts or transactions that occurred before termination.
OSK may retain records where reasonably required for accounting, taxation, fraud prevention, dispute resolution, security, legal compliance, backups or legitimate business record keeping.
Publicly sourced basic Guide information about an eligible operating business may remain in The Guide after a Vendor relationship ends.
Platform changes and third party services +
OSK is an actively developed platform
OSK may use third party services and integrations for payments, shipping, verification, mapping, AI, communications, analytics and other platform functions.
Third party systems are subject to their own availability and technical requirements.
Features described as planned, beta, Trial, pilot, coming soon or subject to third party approval do not guarantee a specific release date.
OSK does not guarantee completely uninterrupted platform availability.
Agreement changes and acceptance +
Material changes may require renewed acceptance
OSK may update the Vendor Agreement as the platform, law or business model develops.
OSK will normally provide notice of material changes affecting existing Vendors as described in the full Agreement.
OSK may require renewed electronic acceptance where a materially updated Agreement is introduced.
Electronic acceptance may record the Vendor Organisation, authorised person, Agreement version, date, time and relevant audit information.
By accepting the Vendor Agreement on behalf of an Organisation, the person accepting confirms that they are authorised to do so.
